ENTERCHECK SERVICE TERMS OF USE

"Customer" – An organization that has registered as a user of the Service. "User" – A person who has registered as a user of the Service and uses the service on behalf of the Customer. "Administrator" – A User who has been granted the right to manage other Users' information and the right to view individual service events and usage reports in the Service. "Service" – The information technology service produced by the Service Provider, which enables the collection and automatic evaluation of information concerning business and community customers, as well as the evaluation of the representation authority and business connection of persons representing them. The Service is based on the combination of information obtained from third parties and the computerized evaluation of information. The Service is available via system interfaces and the service portal. "Person registered in the Service" – A person whose personal data has been stored in the Service on behalf of the Customer.

The agreement between the Service Provider and the User regarding the use of the Service is formed, and the User agrees to comply with these terms of use and the instructions given by the Service Provider, when the User has accepted these terms of use in the Service. The agreement between the Service Provider and the Customer regarding the use of the Service is formed, and the Customer agrees to comply with these terms of use and the instructions given by the Service Provider, when the Administrator has accepted these terms of use in the Service. The Service Provider has the right to refuse to enter into an agreement without giving a reason. Any refusal will be notified to the Customer and User in the Service.

The Service is intended for establishing business customer relationships, verifying the authority of representation or other transaction eligibility of persons acting on behalf of business customers, as well as maintaining customer information. The Service may not be used for other purposes. The Customer has the right to use the service via the Entercheck portal, integration interfaces published by the Service Provider, and add-ons (Plug-ins) published for various web service platforms. The Customer has the right to define the maximum number of Users according to the selected service package. The Customer is responsible for the accuracy and maintenance of user information and the Users' right to use the service on behalf of the Customer.

The agreement is valid until further notice. The Customer has the right to terminate the agreement from the beginning of the calendar month following the day of termination. The Service Provider has the right to terminate the agreement to end two (2) months after the termination. However, the Service Provider has the right to terminate the agreement immediately if the Customer has materially violated these terms, neglected their payment obligation, or neglected the instructions given by the Service Provider, or if the customer does not accept the change in the terms of use or service price list announced by the Service Provider. The termination notice is considered to have been brought to the Customer's attention on the day following the termination after the termination has been notified to the email address registered by the Administrator in the Service. Upon termination of the agreement, such terms whose obligations continue despite the termination remain in force until they have been fulfilled.

The price of the Service consists of a monthly fee determined according to the selected service package, which includes the right to use the Service and the free information included in the service package, and usage-based transaction fees, which are invoiced according to actual usage. The Service Provider defines the billing period and invoices the service price after the billing period has ended. The billing period is at least 1 month. The payment term is 14 days net. All prices are stated exclusive of tax, and value-added tax according to the current tax legislation is added to them. The fees charged by the Service Provider are stated in the service price list published in the Service. The Service Provider has the right to change its service price list to correspond to reasonable changes in the cost level by announcing the change in the Service. The change will take effect from the beginning of the third calendar month following the announcement.

The Service Provider has the right to transfer its rights, obligations, and receivables related to this agreement partially or completely to a third party.

This agreement is governed by the laws of Finland. The Parties shall strive to resolve disputes related to this agreement primarily through negotiations. If the negotiations do not lead to a result satisfactory to the Party, disputes arising from the agreement shall be resolved in the Helsinki District Court in the Finnish language.
